Terms of Use for Third-Party Content and Research

IMPORTANT: I understand this agreement governs my use of the My Fidelity Site, Your Fidelity Site and Quotes & Research Site at Fidelity.com (collectively, the "Sites") and the Research@Fidelity.com automated telephone system ("ATS") (together, the "Services"). I understand that this User Agreement is between me and Fidelity Brokerage Services LLC (collectively with its affiliates, "Fidelity"). My use of any of the Services constitutes my acceptance of this Agreement. If I do not agree with the terms of the User Agreement, I understand I may not use the Services.

1. Service Overview & Purpose of Content
I understand the Services provide access to general news and information, and to commentary, interactive tools, quotes, research reports and data concerning the financial markets and securities (collectively "Content"). The Content is supplied by various third-party companies that are not affiliated with Fidelity ("Third-Party Providers"), as well as by Fidelity and its affiliates. The Content on the Sites from Third-Party Providers is continuously available through framed areas or through Hyperlinks to third-party sites. By clicking on any third-party hyperlink, you will leave the Fidelity site. Fidelity has not been involved in the preparation of the Content from Third-Party Providers and does not explicitly or implicitly endorse or approve such Content. In addition, Fidelity does not alter or change such Content as it is provided through the Services**. The source of Content is clearly and prominently identified.

Content is provided for informational and/or educational purposes and is not intended to provide tax, legal or investment advice and should not be construed as an offer to sell, a solicitation of an offer to buy, or a recommendation for any security by Fidelity or any Third-Party Provider. I acknowledge that my requests for Content are unsolicited. To the extent that any of the Content constitutes investment advice by its respective owner, such information is either statistical information containing no expression of opinion or is impersonal advice not intended to meet the objectives or needs of specific individuals or accounts. I understand that I alone am responsible for determining whether any investment, security or strategy is appropriate or suitable for me and that neither Fidelity nor any Third-Party Provider has made any determination that any recommendation, investment, or strategy in any Content is suitable or appropriate for me based on my investment objectives and financial situation

*Although Content is continuously supplied, it is only valid as of the date published and may become unreliable because of subsequent market conditions or other reasons.

**During certain time periods, the Services may not provide access to certain Content with respect to securities of issuers which are the subject of public offerings that are made available to Fidelity's brokerage customers.

2. Source and Ownership
I agree that the Sites and the ATS are the proprietary property of Fidelity. Content is the property of Third-Party Providers, Fidelity or applicable licensors. Applicable copyright and trademark laws protect Content and my use of the Content is subject to those laws. I understand that independent companies that are not affiliated with Fidelity may administer the Sites and the ATS in whole or in part.

3. Limitations on Use of Content
Content available through the Services will be used only for my personal, non-commercial purposes. I agree not to re-disseminate any Content in any manner to third-parties without the express written consent of Fidelity, the Third-Party Providers or applicable licensors.

4. Disclaimers of Warranties and Limitation of Liability
I understand that Content has been independently obtained or developed by its respective owners through sources believed to be reliable, however, the Content is not guaranteed by Fidelity or any Third-Party Provider and Fidelity is not responsible for any delays, omissions, or inaccuracies in and Content provided by Third-Party Providers.

THERE IS NO WARRANTY OF MERCHANTABILITY, FITNESS FOR A PARTICULAR USE, TITLE, NON-INFRINGEMENT OR OTHER WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, REGARDING THE CONTENT OR ANY ASPECT OF THE SERVICES. THE CONTENT AND SERVICES ARE PROVIDED ON AN "AS IS" "AS AVAILABLE" BASIS. THERE IS NO WARRANTY THAT THE SERVICES WILL MEET MY NEEDS OR THAT THE SERVICES WILL BE UNINTERRUPTED, TIMELY SECURE OR ERROR-FREE; NOR DOES FIDELITY OR ANY THIRD-PARTY PROVIDER MAKE ANY WARRANTY AS TO THE RESULTS THAT MAY BE OBTAINED FROM THE USE OF THE SERVICES OR THAT DEFECTS IN THE SERVICES USED BE CORRECTED. CONTENT IS ONLY VALID AS OF THE DATE PUBLISHED AND MAY BECOME UNRELIABLE BECAUSE OF SUBSEQUENT MARKET CONDITIONS OR OTHER REASONS.

IN NO EVENT WILL FIDELITY OR THE THIRD-PARTY PROVIDERS BE LIABLE TO ME OR ANYONE ELSE FOR ANY CONSEQUENTIAL, INCIDENTAL, SPECIAL OR INDIRECT DAMAGES (INCLUDING BUT NOT LIMITED TO LOST PROFITS, TRADING LOSSES OR DAMAGES THAT RESULT FROM USE OR THE LOSS OF THE USE OF THE SERVICES, INCONVENIENCE OR DELAY), EVEN IF FIDELITY OR THE THIRD-PARTY PROVIDER HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES OR LOSSES. Neither Fidelity nor any Third-Party Provider shall be liable for any loss resulting from a cause over which such entity does not have direct control, including but not limited to failure of electronic or mechanical equipment, or communications lines (including telephone, cable and internet), unauthorized access, theft, operator errors, severe or extraordinary weather (including flood, earthquake, or other act of God), fire, war, insurrection, riot, labor dispute and other labor problems, accident, or action of government.

5. Fidelity's Role as Broker-Dealer
In the conduct of its business as a broker-dealer, Fidelity may act as principal for its own account or as agent for its customers in connection with the sale to me or purchase by me of a security that is the subject of Content prepared by Fidelity. Insofar as Fidelity receives a mark-up or commission or acts as agent for another person in connection with any such transaction, it has a potential conflict of interest. I understand this potential conflict and acknowledge that I may choose to effect securities transactions at another broker-dealer.

6. Notification
I will be responsible for the confidentiality and use of my Personal Identification Number (PIN) which I use to access the Services. I agree to immediately notify Fidelity if I become aware of any of the following: (a) Any loss or theft of my PIN; (b) Any unauthorized use of my PIN or of the Services.

7. Indemnification
I agree to indemnify and hold Fidelity and the Third-Party Providers harmless from and against any and all claims, losses, liability, costs and expenses (including but not limited to attorneys' fees) arising from my use of the Services or violation of this Agreement or any third-party's rights, including but not limited to copyright, proprietary and privacy rights.

8. Changes to Services
I agree that Fidelity may discontinue or modify the Services, in whole or in part, at any time, and that Fidelity may modify, change or limit the terms of the Services, in whole or in part, at any time without prior notice to me. If Fidelity notifies me of a modification, my use of the Services after the effective date of such notice will indicate my acceptance of the modification.

9. Termination and Assignment
I understand that Fidelity reserves the right to terminate my access to the Services in its sole discretion, without notice and without limitation. This Agreement may not be assigned by either Fidelity or me without the written consent of the other party. The provisions of Sections 2, 3, 4, 7 and 10 of this Agreement shall survive its termination.

10. Entire Agreement & Governing Law
I acknowledge that this Agreement constitutes the entire agreement between Fidelity and me with respect to its subject matter. This Agreement and its enforcement shall be governed by the laws of the Commonwealth of Massachusetts, except with respect to conflicts of law, and shall inure to the benefit of Fidelity's successors and assigns, whether by merger, consolidation, or otherwise. If a court of competent jurisdiction shall deem any provision unenforceable, that provision will be enforced to the maximum extent permissible, and the remaining provisions will remain in full force and effect.
